ARTICLES

ARTICLE I- NAME
Section 1: The name of this organization shall be the Highway 94 Club.

Section 2: The Highway 94 Club; shall be a nonprofit, nonpolitical, nonpartisan, nonracial and nonsectarian organization.

ARTICLE II-PURPOSE
Section l: The purpose of this organization shall be 1: To enhance driving safety for the traveling public through the promotion of improvements to California State Highway 94 and rural county roads, and 2: To
Encourage participation in the activities of local civic, community service, youth organization, history, cultural environmental and agricultural along Hwy 94 corridor.

ARTICLE III – MEMBERSHIP
Section 1: Anyone living on or adjacent to or interested in the improvement of Highway 94 or any activity in article II and the stated purpose above.

Section 2: A member in good standing is defined as one whose dues are paid up to and including the current date. A member in arrears is one whose dues have elapsed from one (1) day the three (3) months. A former member is one who allows his dues to lapse beyond three (3) months. His name shall be removed from the membership roll. Former members shall not have any rights or privileges of membership until reinstated.
Membership shall be divided into three (3) classifications as follows:
1. Individual members: Includes any person meeting the requirements of Section 2 of this Article.
2. Family Members: Includes two (2) adults and all children under 16 years of age residing in the same household.
3. Honorary Members: Any person who has made noteworthy contributions to the organization, and has been granted honorary status by the majority vote of the members at any regular business meeting.
4. Life member: An honor bestowed on an individual member for special service.

ARTICLE IV - DUES
Section 1: Annual membership dues from individual and family members shall be established by the Board of Directors, subject to the provisions of Article IV, Section 8. Honorary shall be exempt from payment of dues

ARTICLE V – MEETINGS
Section 1: The regular business meeting shall be held once each month at the time and place agreed upon by the Club, or as designated by the Board of Directors.
Section 2: The motion to adjourn shall be out of order until the business of the meeting has been completed.
Section 3: Parliamentary procedures shall be covered by Robert's Rules of Order.
Section 4: Special meetings may be called by the President, the Board of Directors, or by a majority vote of the members present and voting at any stated meeting; and at said meeting, no other business will be conducted except for which the meeting has been called.
Section 5: At a special meeting, one (1) elected officer and nine (9) members in good standing will constitute a quorum.
Section 6: No benefit tickets may be sold in or at the regular business meeting without first obtaining permission of the Board of Directors.
Section 7: The Board of Directors shall meet once each month at the time and place agreed upon by the Board. In any case of emergency the Board shall have the authority to act for the best interest of the Club.
Section 8: Recommendations by the Board shall be subject to ratification of the Club at its next regular business meeting.

ARTICLE VI - OFFICERS

Section 1: Elective officers shall be (a) President, (b) Vice President (c) Secretary (d) Treasurer and (e) Members of the Board of Directors.
Section 2: Any five (5) members of the Board shall constitute a quorum for a board meeting.
Section 3: Vacancies by resignation or otherwise in the Board of Directors shall be filled by the Board until the next general election only, at which time the membership shall elect a Director for the remainder of the term.
Section 4: When a member of the Board of Directors fails to attend three (3) consecutive board meetings without excused absences, the office shall be declared vacant and the Board of Directors shall appoint a member of the club to fill the vacancy in compliance with the provisions of Section 3 of this Article.

ARTICLE VII – ELECTION OF OFFICERS

Section 1: The President shall appoint a Nominating Committee of five (5) members at the regular September meeting. The Nominating committee will submit the names of members nominated for office for the following term at the regular October meeting. Nominations from the floor will also be made at this meeting so ballots may be prepared. Election of officers will be held at the regular November meeting. Elected officers will be installed at the regular business meeting in January.
Section 2: One (1) Director is to stand for election each year for a term of four (4) years. Permanent Honorary Directors may be elected by a majority of the membership.
Section 3. All officers shall be elected by a majority of the votes cast by the members present to voting. Voting will be conducted by secret ballot, unless otherwise ordered by the floor. When more than two (2) candidates have been nominated for the same office, and none receive a majority of the votes cast on the first poll (at least one more than half of the votes cast), then the candidate receiving the lowest number of votes will be dropped from the ballot until one candidate receives a majority of the votes cast.
Section 4: The Board of Directors shall be governing body of the Club between meetings. They shall assist the President and be his advisors in administering the affairs of the Club.

ARTICLE VIII- DUTIES OF OFFICERS

Section 1: The duties of all officers and the duties of all committees shall be as defined in Robert's Rules of Order.

ARTICLE IX – COMMMITTEES

Section 1: The President shall appoint the chairman of such committees as are required and such additional ad hoc committees as are necessary. At the time of appointment, the President shall clearly define the goals and objectives of each committee to the chairman of that committee.
Each chairman shall appoint such club members in good standing as deemed necessary, and shall pursue with diligence all tasks assigned to the committee by the President.
Committee chairmen or, in their absence, a committee member shall submit an oral or written monthly report of the committee's progress to the Board of Directors and the general membership until the committee work is completed, ta with time a final report shall be submitted.
Section 2: Such committees shall perform the duties as indicated by their titles and shall function under the supervision of the President and the Board of Directors.

ARTICLE X – BONDS OF OFFICERS

Section 1: The Board of Directors may require any officers or member having custody of Club Funds, to furnish bond in such amount and with sufficient surety to the satisfaction of the Board, as it may require, and the premiums for which, if any, shall be paid by the Club.

ARTICLE XI – FINANCES

Section 1: The Board of Directors shall administer the finances of the Club.
Section 2: The Board of Directors shall have the authority to appropriate money.
Section 3: The Board of Directors shall not incur an obligation or authorize an expenditure I excess of four hundred ($400.00)* except by a successful motion and carried at a regular business meeting.
Section 4: The Treasurer shall receive all funds due and payable to the Club and shall keep an accurate record of all receipts and disbursements.
Section 5: A General Fund and Special Funds may be set up as circumstances require. The Treasurer shall deposit all club funds, and establish accounts in financial institutions as designated by the Board of Directors, one such account shall be a checking account. No withdrawals from these funds shall be made except under the signature of the President, Treasurer or one member authorized by the Board of Directors.
Section 6: Recurrent and authorized operational club expenditures may be paid by the Treasurer immediately upon the submittal of receipts and/or invoices justifying such expenditures. Expenditures of all other funds shall be set forth in Section 3.
Section 7: The financial policy of the Club shall be on a "Pay as you go" basis unless by a regular resolution presented to and adopted by the Club, the financial policy may be placed on a budgetary system.
Section 8: The Treasurer will present a financial report at the monthly board meetings. It will include all income and expenditures for the appropriate period.

ARTICLE XII – AUDIT

Section 1: The President may appoint an Audit Committee of three (3) members at the regular November meeting. The Audit Committee shall audit the financial records and accounts of the Treasurer during the month of December. A complete report of all committee findings shall be made to the general membership at the regular January meeting.
Section 2 : A report of audit shall be made at the regular business meeting in the month of January, and the reports filed with the Secretary for the Club records.

ARTICLE XIII – AMENDMENTS

Section 1: No part of these By-Laws shall be repealed, amended, altered or annulled, unless a resolution to the effect be presented to the Club in writing and read at two (2) regular business meetings previous to submitting them to a vote, when, if two-thirds (2/3) of the members present and voting are in favor of the resolution, it shall be adopted.
Section 2: Proposed changes in the Club By-Laws shall be the subject of a special notice to all members prior to a regular business meeting.

1. Members and attendees will extend all courtesies to speakers.
2. Members and attendees will be recognized by the Officer officiating the meeting when questions are asked.

ARTICLE XIV-ADOPTION OF BY LAWS

Section 1: The above code of By-Laws shall go into effect upon the date of approval by the members of the Highway 94 Club.
